You understand that by providing your data, including Data as defined below to us you acquire no rights in any publication, research or commercial products that may be developed by us or our collaborating partners. You specifically understand that you will not receive any compensation for any publication, research or commercial products that include or result from your data.
You understand that information you learn from us is not designed to independently diagnose, prevent, or treat any condition or disease or reduce ony risks or to ascertain the state of your health in the absence of medical and clinical information. You understand that for you the Product is for information purposes only, and in case our information contains any features of a diagnosis, medical or any other advice or possible treatment, it should always be confirmed and supplemented by additional medical and clinical testing and information. You acknowledge that we urge you to seek the advice of your physician or other competent health care provider if you want to make any health related decisions or have questions or concerns related to health, wellness or behavior or lifestyle changes arising from use of Product, and any of the information originated from Product or referenced to in Product.
Other than pursuant to the Terms of Service or unless otherwise agreed in a separate agreement between you and Gero, you agree not to display, distribute, license, perform, publish, reproduce, decomile, reverse engineer, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or transmit for any commercial purposes, all or any portion of the Product, use of the Product, or access to the Product.
If you display any of the results of the Product’s performance, you should provide a direct hyperlink to the Product’s website and/or AppStore download link.
You acknowledge and agree that we (or our licensors, as applicable) own all legal right, title, and interest in and to the Product, including any intellectual property rights (including but not limited to copyright, trademark, patents) which subsist in the Product (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Product may contain information which is designated confidential by us and that you shall not disclose such information without our prior written consent, excluding any customized user data as will be processed and shared by Gero based on your usage.
You agree that you have the authority, under the laws of the state or jurisdiction in which you reside or under any other laws applicable to you, to provide these representations. In case of breach of any one of these representations we have the right to suspend or terminate your account and refuse any and all current or future use of the Product (or any portion of it thereof) and you will defend and indemnify us and our affiliates against any liability, costs, or damages arising out of the breach of the representation.

We do not provide diagnosis, treatment, medical, nutritional, healthcare or any other professional advice. The Product and the information provided by us is for informational use only. PURPOSE OF THE PRODUCT
The purpose of the Product is to provide you with information and to provide Gero with data for the purposes described in these Terms of Service.
The Product is only intended for healthy adults, please do not use Product if you are a minor (as defined in your personal law), suffer from, or might suffer from, any medical condition that may be impaired by diet, lifestyle change or exercise.
Description of Product:
Information about your biological age, Resilience analytics (status, trends), any other structured or unstructured data or results generated by the Product on the basis of the Data you provide or other information, shall belong to GERO and are licensed to you on a basis of a free, revocable, non-sublicensable, non-transferable license for a duration of your use of the Product with respect to the territory of the entire world. Please note that if you display any of such elsewhere you should always credit the Product and provide a direct hyperlink to it.
Please also consider that your physician, nutritional or any other healthcare professional may disagree with any of the results generated by the Product.
If you use the Product to create your own diet, lifestyle change, exercise, supplement or other habit, you are assuming all responsibility or liability for following such a habit. Please consult your physician, nutritional or any other healthcare professional before doing so.
You have the option of deleting your account through your profile by clicking on the "Withdraw consent and delete account" button. We do not delete server backups that may include your deleted account data but we can ensure that we do not use the data within the backup for any other purpose. In the case of server breakdown and restoring from backup your deleted account data, we will delete your data.
Please note that you are solely responsible for keeping access to your account secure.

COLLECTION OF INFORMATION
Gero collects your information every time you enter the Product.
In the current version only steps and heart rate measurements collected by your smartphone are used for calculation of Resilience and Biological Age. Apple Health and Health Connect apps may also contain steps collected by other devices, e.g. fitness bracelets, Apple Watch etc. We also take such steps data and plan to work with such steps originated not from smartphone to research possibility to use it for Resilience and Biological Age calculations, for other research on relations of lifestyle with health and improvement of Resilience and lifespan and Biological Age prediction models that may be implemented in future versions of Product and for other purposes information on steps can be used according to this document and other agreements you may enter with us.
Additionally, we use Amplitude to analyze user behavior within the Product. This helps us understand how users interact with our Product, enabling us to enhance user experience and improve our services.
The information that shall be collected by Product ("Data") includes information, set forth in our Privacy Notice.
USE AND DISCLOSURE OF YOUR DATA
Rules of Data use and disclosure shall be set forth in our Privacy Notice.
MODIFICATIONS TO THE PRODUCT
We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Product (or any part thereof) with or without notice. You acknowledge and agree that (i) modifications may result in a delay in computations for some of the Product features, and (ii) we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Product or any of its parts.
The software that you use may from time to time automatically download and install updates from the Product. These updates are designed to improve, enhance, and further develop the Product and may take the form of bug fixes, enhanced functions, new software modules, and completely new versions. You agree to receive such updates (and permit us to deliver these to you) as part of your use of the Product.

There are possible risks, discomforts, and inconveniences by using the Product.

COSTS
Use of the Product is free. There are no guarantees that it will be free in the future however, we will notify you in case we decide to charge for the usage of the Product or any of its functions and only at that point you may choose to proceed or stop using it or delete your account.
Product consumes your battery, memory of your device, may affect its performance, and you may also incur costs related to the use of the Internet or related to the work of Product. You hereby agree that all such expenses are at your own cost and at your own risk.
ALTERNATIVES
he Product is not a medical treatment or diagnostics study. There is no alternative treatment or diagnostics to this study. The only alternative to this Product is to not to use the Product.
PRIVACY, CONFIDENTIALITY, DATA PROTECTION
Your privacy is important to us and we will apply our best efforts to ensure that your Data will not be available to search systems. We will make every commercially reasonable effort to protect your privacy. Except as required by law, you will not be identified by name or by any other direct personal identifier. However, if there is a data breach it may be possible to identify you.

DISCLAIMER OF WARRANTIES
Gero cannot guarantee any health, weight and/or fitness results or improvements resulting from your use of the Product.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (1) YOUR USE OF THE PRODUCT ARE AT YOUR SOLE RISK. THE PRODUCT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY WHATSOEVER. GERO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LIMITATION OF LIABILITY
Product is a tool used for the research of possibilities of prediction of stochastic (probabilistic) biological properties, and thereby it cannot be used for accurate prediction of medical or health-related parameters and as a basis for any intervention or changing your habits, diet, sleep, lifestyle and any other actions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT GERO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF GERO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) INJURIES AND DEATH, RESULTING FROM: (a) THE USE OR THE INABILITY TO USE THE PRODUCT; (b) ANY ACTION YOU TAKE BASED ON THE INFORMATION YOU RECEIVE IN THROUGH OR FROM THE PRODUCT, (v) YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL, (d) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE PRODUCT; (e) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (f) THE IMPROPER AUTHORIZATION FOR THE PRODUCT BY SOMEONE CLAIMING SUCH AUTHORITY; or (g) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PRODUCT.
LIMITATIONS OF LIABILITY SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE ARRANGEMENT BETWEEN GERO AND YOU. THE PRODUCTS, INFORMATION, PROGRAMS AND SERVICES OFFERED IN AND THROUGH THE PRODUCT WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. SUBJECT TO THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (I) IF YOU ARE A CUSTOMER, THE MAXIMUM LIABILITY OF GERO SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR ANY PRODUCT, INFORMATION OR SERVICE PURCHASED BY YOU FROM GERO IN THE PRODUCT, AND (II) IF YOU ARE A PARTICIPANT IN ANY PROGRAM, THE MAXIMUM LIABILITY OF GERO SHALL BE LIMITED TO THE AMOUNT CREDITED OR PAID TO YOU BY GERO UNDER THE APPLICABLE PROGRAM DURING 12 MONTHS PRIOR TO THE DATE LEADING TO LIABILITY.
BECAUSE SOME STATES AND/OR JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU, OR IF APPLICABLE – WILL APPLY TO THE EXTEND PERMITTED BY THE APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE PRODUCT OR ANY PORTION OF THE PRODUCT, YOUR PARTICIPATION IN ANY PROGRAM OR WITH ANY OF THE TERMS OF USE CONTAINED IN THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PRODUCT OR PARTICIPATING IN THE APPLICABLE PROGRAM. IN NEW JERSEY, THESE DISCLAIMERS AND LIMITATIONS DO NOT APPLY TO LIABILITY RESULTING FROM INTENTIONAL OR RECKLESS CONDUCT, GROSS NEGLIGENCE, STRICT LIABILITY, NEGLIGENCE, OR VIOLATION OF A STATUTORILY IMPOSED DUTY ON THE PART OF GERO.
WE ARE NOT RESPONSIBLE FOR ANY DAMAGES FOR INFORMATION, PRODUCTS, OR SERVICES PROVIDED BY THIRD PARTIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN NEW JERSEY, THIS LIMITATION OF LIABILITY DOES NOT APPLY TO LIABILITY DUE TO INTENTIONAL OR RECKLESS CONDUCT, GROSS NEGLIGENCE, STRICT LIABILITY, NEGLIGENCE OR VIOLATION OF A STATUTORILY IMPOSED DUTY ON THE PART OF GERO.
INDEMNITY
You agree to defend and hold us, and our subsidiaries, affiliates, associated organizations, officers, agents, contractors, partners, employees, successors, and assigns harmless from any claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of this Terms of Service you submit, your log in to the Product, your violation of the Terms of Service, or your violation of any rights of another.
WAIVER
The failure of Gero to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.
CHANGES OF TERMS OF SERVICE
We may make changes to the Terms of Service from time to time. When these changes are made, we will make a new copy of the Terms of Service available on our website and Product and any new additional terms will be made available to you.
Please consider visiting the Terms’ page from time to time to be familiar with any possible changes. If appropriate, we will also provide you with a notification (e-mail or push-notification) about changes in these Terms.
If you continue to use the Product after changes to the Terms, you signify your acceptance with the revised Terms.
SURVIVAL OF TERMS
Notwithstanding of the fact that you have deleted your account the following terms shall survive: SUMMARY, COLLECTION OF INFORMATION, USE AND DISCLOSURE OF YOUR DATA, MODIFICATIONS TO THE PRODUCT, RISKS, DISCOMFORTS AND INCONVENIENCES, COSTS, PRIVACY, CONFIDENTIALITY, DATA PROTECTION, DATA DE-IDENTIFICATION, DATA STORAGE, DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, INDEMNITY, WAIVER, CHANGES OF TERMS OF SERVICE, CONSENT.
CONSENT

I authorize the collection, processing, use, and disclosure of my Data, including but not limited to de-identified Health Data and Personal Data as described in the Privacy Notice.
APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms shall be regulated by the laws of Singapore.
You and Gero shall attempt to resolve any disputes by the means of negotiations. In case we are unable to resolve the dispute within 30 days from their commencement, they shall be resolved by a competent judicial authority according to the applicable law.
DEFINITIONS
Unless the context otherwise requires or as otherwise noted, references in these Terms of Service to the “company,” “Gero”, “we,” “us” and “our” refer to GERO PTE. LTD., a Singapore company with a Registration Number 201835872R and a registered address at 133 Cecil Street #14-01 Keck Seng Tower, Singapore 069535, as well as its subsidiaries and other affiliated companies.
Resilience - the estimation of expected recovery rate of the people, who match to your locomotor activity patterns by metrics of Gero technology based on user's locomotion data evaluated by Gero technology. This is an estimated quantity based on our predictive modeling, the actual value of Resilience may not be equal to the median estimate. Predictive modeling is characterised by the uncertainty of the estimate: the certain percentage of the realised Resilience is expected to fall in a certain range of years from median. This estimate is based on historical data of US and UK populations and your actual results may not be in this range.
Product - Gero Application, which is a proprietary software for research of Resilience and Biological Age in relation to lifestyle and other factors using Gero technology.
Product results - results of calculations of Resilience and Biological Age by Gero technology.
Gero technology - proprietary Gero research technology where Resilience expectancy is currently calibrated using US and UK population statistics and proprietary predictive models. Models can be updated by Gero at any time and this may result in change of the expected Resilience and your historical data in the application.
Except as specified herein, these Terms of Service apply to any use of the Product, including but not limited to a) uploading a digital version of your Health Data and interacting with it on the Product website, and/or b) creating and using a free Product account without providing your Health Data. In order to use the Product, you must first agree to the Terms of Service. You may not use the Product if you do not accept the Terms of Service.
